Governing law: Republic of Singapore — last updated June 2025.
These Terms and Conditions ("Terms") govern your use of the website mergemedia.life and your relationship with MergeMedia Pte Ltd (UEN 201455627L) of 1 Fusionopolis Way, #08-10 Connexis South Tower, Singapore 138632 ("MergeMedia", "we", "us"). By accessing the site or engaging our services, you agree to these Terms.
1. Services
MergeMedia provides data-media pipeline fusion, unified pipelines, MLOps fusion, single-source analytics, and stream quality operations for enterprise AI programmes. We do not provide linear television playout or traditional advertising agency services unless expressly agreed in a separate written statement of work.
2. Website use
You may use this website for lawful purposes only. You must not attempt unauthorised access, introduce malware, scrape content in violation of robots directives, or misrepresent affiliation with MergeMedia. Content, trademarks, and layouts are owned by or licensed to MergeMedia and may not be reproduced without written permission.
3. Enquiries and proposals
Information on mergemedia.life, including SGD pricing ranges and catalogue references (e.g. MM-UDL-01), is indicative and not a binding offer. Binding terms arise only upon execution of a formal proposal, statement of work, or master services agreement signed by authorised representatives.
4. Client obligations
Clients must provide timely access to systems, sample data, and stakeholders; ensure they have rights to share data and media assets with us; and comply with applicable laws including the PDPA when transferring personal data. You are responsible for accuracy of information supplied to us.
5. Fees and payment
Fees are quoted in Singapore Dollars (SGD) unless otherwise stated. Invoices are payable per the payment schedule in your contract. Late payment may incur interest at rates permitted under Singapore law and suspension of work after notice.
6. Confidentiality and intellectual property
Each party shall protect the other's confidential information using reasonable care. Unless agreed otherwise, MergeMedia retains ownership of pre-existing methodologies, tools, and templates; clients retain ownership of their underlying data and media. Deliverables specified as work-for-hire or assigned in your contract govern ownership of custom merge configurations and documentation produced for you.
7. Warranties and disclaimers
We perform services with reasonable skill and care consistent with industry standards for data engineering and MLOps. Except as expressly stated in a signed contract, services and the website are provided "as is" without warranties of uninterrupted operation, fitness for a particular AI outcome, or error-free merge results. You are responsible for validating merged outputs before production deployment.
8. Limitation of liability
To the fullest extent permitted by Singapore law, MergeMedia shall not be liable for indirect, incidental, special, or consequential damages, or loss of profits, data, or goodwill. Our aggregate liability arising from any claim shall not exceed the fees paid by you to MergeMedia for the specific engagement giving rise to the claim in the twelve (12) months preceding the claim, except where liability cannot be limited by law (including death or personal injury caused by negligence, or fraud).
9. Indemnity
You agree to indemnify MergeMedia against claims arising from your unlawful use of the site, breach of these Terms, or provision of data or assets without proper rights or consents, except to the extent caused by our gross negligence or wilful misconduct.
10. Personal data
Our handling of personal data is described in the Privacy Policy (PDPA), incorporated by reference into these Terms.
11. Force majeure
Neither party is liable for delay or failure due to events beyond reasonable control, including natural disasters, government actions, widespread network outages, or pandemic restrictions, provided the affected party notifies the other promptly and uses reasonable efforts to resume performance.
12. Termination
Either party may terminate a services contract per its termination clause. We may suspend site access or engagements if you materially breach these Terms or fail to pay undisputed invoices after fourteen (14) days' written notice.
13. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Singapore. The parties submit to the exclusive jurisdiction of the Singapore courts. Before litigation, parties shall attempt good-faith negotiation for thirty (30) days. Either party may seek urgent injunctive relief in any competent court.
14. Severability and entire agreement
If any provision is held invalid, the remainder continues in effect. For services engagements, these Terms supplement but do not replace signed contracts where conflict exists — signed contracts prevail.
